Terms of service
Effective 29 August 2026
These terms are a contract between you and VRX IT Services Korlátolt Felelősségű Társaság (“we”, “Greenlit”) for the Greenlit software. They are not a contract between Greenlit and your clients.
Two contracts
Solo is our software fee (€12/month or €120/year, EUR, net of VAT). You pay us.
The deposit on an offer is your client paying you. Card deposits are direct charges on your Stripe Connect account (no application fee). Bank transfers go to your IBAN. We never receive that money, we cannot refund it, and we are not a payment institution or electronic-money issuer.
Who may use the software
You must be 18 or older and able to form a binding contract. The service is aimed at independent studios and other businesses. If you are a consumer buying Solo, mandatory consumer rights in your Member State still apply and override anything here that conflicts.
The software
Greenlit lets you draft a commercial offer, publish an unlisted URL, collect a deposit (card and/or bank), and stamp the page GREENLIT when that deposit is recorded. Pages generated here are commercial offers, not tax invoices. You remain responsible for VAT, invoicing, consumer law toward your clients, and KYC on your Stripe account.
The free plan includes one live offer and a “Prepared with Greenlit” mark. If Solo ends (canceled, unpaid after retries, or incomplete), extra live offers are unpublished automatically; the newest live offer is kept. Failed card payments stay on Solo while Stripe retries (past_due).
Public offers
A public offer URL is unlisted. Search engines are told not to index it. It is not password-protected. Anyone with the link can read the commercial terms you typed, including client names. Do not put secrets in the scope. You must have a lawful basis to publish that information (you are the controller of your clients’ data; see the Privacy notice).
Expiry, unpublish, and “awaiting deposit” stop new Checkout sessions and the bank-transfer block. They do not void a card payment already in flight. If a client pays after you intended to withdraw the job, that is between you and them; refund in Stripe.
If a page is already GREENLIT, the client must not pay again. Double payment (card and bank, or two cards) is yours to unwind. Card disputes and refunds update the stamp when Stripe tells us. Until then the page may still read GREENLIT.
Content, IP, and hosting
You own the text you type. You grant us a licence to host, display, transmit, and back it up solely to provide the service. We do not claim your client relationships.
You must not use Greenlit for illegal offers, fraud, impersonation, malware, scraping other users’ offers, or content that is unlawful to host. We may unpublish or suspend accounts that do. We are not the arbiter of commercial disputes between you and a client.
Under the EU Digital Services Act we host user-generated commercial pages. Report alleged illegal content to info@vrxit.com (include the URL and why it is illegal). We will review notices in good faith and may unpublish. That contact is also our DSA single point of contact.
Processor terms (offer content)
For personal data you type about clients (names, emails, VAT IDs, scope), you are the controller and we are your processor (GDPR Art. 28). We process that data only to host the offer, run Checkout on your connected Stripe account, record payment status, and operate the product. We do not use it for our own marketing. Sub-processors: Clerk (authentication of your account), Stripe (payments), Vercel (hosting), Neon (EU database, Frankfurt). We will not engage others for this processing without an equivalent duty of confidentiality and security. On account deletion we delete or anonymise offer content except records we must keep for our own tax and security logs. If a client of yours contacts us about their data, we will point them to you and assist you with reasonable technical steps.
Solo fee, VAT, invoices
Solo is billed in EUR. List prices are net of VAT. EU VAT-registered customers provide a VAT ID at checkout; reverse charge applies where the law says so. Consumers may be charged VAT on top. Stripe receipts are not tax invoices. We invoice the software fee from our own books.
Pre-contract information for Solo is on Pricing, this page, and the Privacy notice. The main features are: hosted offer pages, exact-amount Checkout on your Stripe, IBAN reference, and a paid stamp. There is no minimum term beyond the month or year you buy. Recurring billing continues until you cancel in the Stripe billing portal.
Consumers and withdrawal
If you buy Solo as a consumer, EU distance-contract rules give you 14 days to withdraw from a digital service — unless you ask us to start immediately and acknowledge that you then lose that right once the service is available. Checkout requires that acknowledgement. After the dashboard is provisioned, consumer withdrawal no longer applies to that period of access, without limiting any other mandatory right (including for lack of conformity). B2B purchases are not refundable once provisioned except as required by law.
Liability
We provide the software as-is except where the law requires otherwise. We do not warrant that a client will pay, that Stripe will accept your account, or that an unlisted URL stays secret. For B2B users, our aggregate liability for a claim is capped at the Solo fees you paid us in the 12 months before the claim. We do not exclude or limit liability for intent, gross negligence, death or personal injury, or any liability that cannot be limited by law — including mandatory consumer rights.
Law
The law of the Member State where the operator is established applies. Courts at the registered seat have jurisdiction for B2B disputes. Consumers may sue and be sued in the courts provided by mandatory law in their Member State. Out-of-court consumer dispute bodies in that Member State remain available where the law gives them.
